I have spent over 21 years helping start, build, grow and exit early stage, emerging growth and later stage companies as both a deal lawyer and entrepreneur.  Currently, I am a Managing Partner with Baer Crossey McDemus LLC, a corporate boutique headquartered in Philadelphia.  In my role as a deal lawyer, I provide guidance to companies at all stages of their life cycle on mergers and acquisitions, divestitures and spin-offs, angel, venture capital and private equity transactions, debt financing transactions, joint ventures and strategic alliances, outsourcing transactions, commercialization and licensing of technology, commercial agreements and other general corporate matters.

I am also the co-founder and Managing Partner of Cairn Venture Partners, LLC, a value investor looking to purchase controlling stakes in B2B software companies where we believe we can unlock value because the core business is underperforming, the company undercapitalized or current management has failed to achieve sustained growth.

Previously, I was an executive with Scünci International, Inc., an international consumer products company (sold to Conair Corporation), ICT Group, Inc., an outsourced CRM provider (sold to Sykes Enterprises) and iLabor Network, a SaaS technology company in the staffing agency space (sold to MDT Tek, LLC).  As a result of my years on the private business side, I have significant experience in all aspects of corporate development and strategic dealmaking across many industries.  I was also previously associated with Morgan, Lewis & Bockius LLP and Cozen O’Connor early in my career.  I graduated from Providence College with a B.A. in Political Science and received my Juris Doctor from Widener University School of Law.  I remain very active in the venture and start-up community.

When I am not spending time with my family or working, you can catch me competing in triathlons or running, cycling or skiing. Trying to break the stereotype that lawyers have no personality, are risk averse and live in a world of “no”.

While a portion of Chris’ diverse practice consists of advising mature companies, he has particularly extensive experience counseling entrepreneurs and start-up and emerging growth companies on day-to-day legal and business issues such as business plan and executive summary development, entity formation, business model development, capital structure, financing, capital raising, growth and exit strategies, employment and founder matters, equity compensation and other strategic or tactical matters.  Chris has represented start-up and emerging growth companies, venture capital funds, private equity funds, corporate venture units, angel and other private investors in venture capital transactions, private equity transactions and private placements, including structuring and negotiating the purchase and sale of preferred stock, convertible debt and warrants or completing bridge loans, PIPE transactions or financing-related recapitalizations.  He also makes the necessary introductions to assist his clients in raising capital.  Chris is dedicated to nurturing and building start-up and emerging growth companies, networking and interacting with the venture community.

Prior to Baer Crossey, Chris ran his own law firm, MCD Law Partners, LLC.  Prior to that he was the Senior V.P. and General Counsel at ClearPoint Business Resources, Inc. (sold to MDT Tek, LLC), the V.P. and Assistant General Counsel at ICT Group, Inc. (sold to Sykes), the Senior V.P., Corporate Development and Chief Legal Officer at Scünci International, Inc. (sold to Conair Corporation), an Associate at Morgan, Lewis & Bockius LLP, and an Associate with Cozen O’Connor, P.C.  He is admitted to practice law in Pennsylvania, Delaware and New Jersey.
